1. Acceptance of Terms

By accessing or using the SAR-X platform (“Platform”), operated by SAR-X Inc. (“we,” “us,” “our”), you agree to be bound by these Terms and Conditions (“Terms”), as well as our [Privacy Policy]. If you do not agree, you must not join or use the Platform in any capacity.

2. Eligibility

  • You must be at least 16 years of age (or the age of majority in your jurisdiction) to create an account.

  • You are responsible for ensuring the information you provide is accurate and kept up to date.

  • Accounts are non-transferable.

3. Accounts and Security

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

  • Notify us immediately of any unauthorized use of your account.

  • We are not liable for losses arising from unauthorized use of your account.

4. Memberships and Payments

  • Certain features are available only to Pro Members.

  • Pro Membership fees are billed via secure third-party payment providers (e.g., Stripe, PayPal). We do not store payment card information.

  • Memberships may renew automatically, as described at the time of purchase. You may cancel auto-renewal at any time in your account settings.

  • Fees are non-refundable except as required by law.

5. User-Generated Content

  • You may post content (forums, job board, registry, messages) subject to community guidelines.

  • You retain ownership of your content but grant SAR-X Inc. a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the operation of the Platform.

  • You are solely responsible for the content you submit.

  • SAR-X reserves the right, but not the obligation, to moderate, edit, or remove content at its discretion.

6. SAR Registry

  • The Platform includes a SAR Registry where members may voluntarily submit content, including profiles, images, and written descriptions.

  • By submitting content to the Registry, you grant SAR-X Inc. a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the content for the operation of the Platform.

  • You represent and warrant that you have the necessary rights to submit any content (including images) to the Registry and that such content does not infringe copyright, privacy, or publicity rights of others.

  • SAR-X Inc. does not verify Registry submissions and disclaims responsibility for the accuracy or reliability of such content.

  • SAR-X Inc. disclaims liability for reputational harm, copyright claims, or damages alleged to arise from Registry listings.

7. Forums

  • The Platform includes discussion forums where members may post comments, questions, and other content.

  • You are solely responsible for the content you post in the forums. By posting, you grant SAR-X Inc. a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute such content for the operation of the Platform.

  • SAR-X Inc. does not verify or endorse forum content and disclaims liability for any reliance placed on forum discussions.

  • Forum content may remain visible after you delete your account in order to preserve discussion history, though identifying details may be anonymized upon request.

  • SAR-X Inc. reserves the right to moderate, edit, or remove forum content at its sole discretion, without prior notice.

8. Prohibited Conduct

You agree not to:

  • Post unlawful, defamatory, obscene, or misleading content.

  • Harass, threaten, or impersonate others.

  • Interfere with or disrupt the Platform.

  • Attempt to access accounts or systems without authorization.

Violation may result in account suspension or termination.

9. Intellectual Property

  • All Platform content (except user-generated content) including logos, text, graphics, and software is owned by SAR-X Inc. and protected by copyright, trademark, and other laws.

  • You may not copy, distribute, or exploit Platform content of any kind, without prior written consent.

10. Disclaimer of Liability

  • The Platform is provided on an “as is” and “as available” basis without warranties of any kind.

  • SAR-X Inc. makes no guarantees regarding accuracy, availability, or reliability of the Platform or content.

  • We are not responsible for:

    • User-generated content.

    • Registry submissions.

    • Forum discussions.

    • Job board listings.

    • Transactions or communications between members.

    • Decisions made based on information found on the Platform.

  • To the fullest extent permitted by law, SAR-X Inc. disclaims all liability for damages arising from your use of the Platform.

11. Indemnification

You agree to indemnify and hold harmless SAR-X Inc., its affiliates, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising out of:

  • Your use of the Platform.

  • Your violation of these Terms.

  • Your violation of any rights of a third party.

12. Third-Party Services

The Platform may include links or integrations with third-party websites and services. We are not responsible for the practices or content of those third parties.

13. Advertising

The Platform may display third-party advertisements. We do not endorse or guarantee any products, services, or content advertised on the Platform. Your dealings with advertisers, including payment and delivery of goods or services, are solely between you and the advertiser. SAR-X Inc. is not responsible for any loss or damage arising from such dealings.

14. Directory of Organizations

The Platform may include a directory of Search and Rescue organizations compiled by SAR-X Inc. using publicly available information.

  • Directory listings are provided “as is” and do not imply endorsement, verification, or approval by SAR-X Inc.

  • SAR-X Inc. makes no warranties regarding the accuracy, reliability, or completeness of directory information.

  • Inclusion of an organization does not create any partnership, representation, or affiliation with SAR-X Inc.

  • SAR-X Inc. disclaims liability for any reputational harm, business loss, or damages alleged to arise from directory listings.

  • Organizations are responsible for requesting corrections or removal if they do not wish to be listed.

15. Job Posting Board

The Platform may include a job posting board with links to external job opportunities related to Search and Rescue.

  • SAR-X Inc. does not create, endorse, or verify the accuracy of job listings.

  • All applications, communications, or transactions related to job opportunities are strictly between you and the external organization.

  • SAR-X Inc. disclaims liability for any inaccuracies, outcomes, or damages arising from reliance on job postings or engagement with external job sites.

16. Termination

We may suspend or terminate your account at any time, with or without notice, but with a confirmation message by email, if we believe you have violated these Terms or for any operational, security, or legal reason.

17. Governing Law & Jurisdiction

  • These Terms are governed by the laws of Canada, without regard to conflict of law principles.

  • Users in other jurisdictions (U.S., U.K., Australia) agree that disputes will be subject to Canadian jurisdiction unless otherwise required by applicable law.

  • You agree to make a good faith effort to resolve any dispute with SAR-X Inc. informally before pursuing mediation, arbitration, or court proceedings.

  • You agree to submit to the exclusive jurisdiction of the courts located in [Manitoba, Canada].

18. Force Majeure

SAR-X Inc. is not responsible for any failure or delay caused by events beyond our reasonable control, including natural disasters, internet outages, government actions, or third-party service interruptions.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SAR-X Inc. regarding use of the Platform.

21. Limitation of Liability

To the maximum extent permitted by law, SAR-X Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, goodwill, or other intangible losses.

22. Changes to the Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.

24. Community Guidelines & Code of Conduct

To foster a safe and professional environment, all members must comply with the following:

Respect and Professionalism

  • Treat others with courtesy and professionalism at all times.

  • Disagreements are acceptable but must remain constructive and respectful.

  • Personal attacks, harassment, or targeted abuse will not be tolerated.

Prohibited Content and Behaviour

You may not post, share, or engage in:

  • Hate speech, discriminatory remarks, or derogatory language based on race, ethnicity, nationality, gender, gender identity, sexual orientation, religion, or disability.

  • Threats, harassment, stalking, or bullying.

  • Obscene, sexually explicit, or violent content.

  • Repeated disruptive behaviour or spamming.

  • False or misleading information intended to deceive others.

Professional Integrity

  • Discussions must remain relevant to Search and Rescue (SAR) and related professional topics.

  • Commercial or promotional content requires prior approval.

  • Keep communications factual, constructive, and respectful to the best of your knowledge.

Enforcement

  • Violations will be reviewed individually on a case-by-case basis.

  • Actions may include warnings, content removal, suspension, or permanent termination.

  • Severe violations (hate speech, threats of violence, repeated misconduct) will result in immediate suspension or termination.

  • SAR-X’s enforcement decisions are final and at its sole discretion.

Violations may be reported to admin@sar-x.com. Reports will be handled confidentially and investigated promptly.
